Terms and Conditions

The website 'www.minddhara.com' and all other associated and ancillary applications, products, websites, and services ("Website/Platform") are the property of and managed by MindDhara Private Limited (CIN: U86909HR2025PTC136572), a company incorporated under the Companies Act, 2013, having its registered office at Flat No. 102, Tower 25, Palm Hills, Sector 77, Narsinghpur, Gurugram, Haryana – 122004 (hereinafter referred to as "MindDhara", "We", "Us", or "Our"). The terms "You", "Your", and "Yourself" are to be construed as synonymous with the term "User", meaning any person who registers on, accesses, or uses the Platform or any of the Services.

Please read these Terms and Conditions carefully before registering, accessing, or using the Services offered through the Platform. These Terms and Conditions constitute a legally binding contract ("T&C") between You and MindDhara. These Terms shall at all times be read and construed together with Our Privacy Policy, Refund and Cancellation Policy, and any other policies or supplemental terms published on the Platform from time to time (collectively referred to as the "Policy Documents"). In the event of any conflict between these Terms and any other Policy Document, these Terms shall prevail unless otherwise expressly stated. By accessing or using the Platform, You confirm that You have read, understood, and agreed to be bound by these Terms and all applicable Policy Documents. If You do not agree to these Terms or do not wish to be bound by them, You must immediately discontinue Your use of the Platform and the Services.

Definitions

For the purposes of these Terms and Conditions, the following terms shall have the meanings ascribed to them below:

• "MindDhara" / "We" / "Us" / "Our" means MindDhara Private Limited (CIN: U86909HR2025PTC136572), a company incorporated under the Companies Act, 2013, with its registered office at Flat No. 102, Tower 25, Palm Hills, Sector 77, Narsinghpur, Gurugram, Haryana – 122004.
• "Platform" means the website 'www.MindDhara.com' and all associated mobile applications, tools, and digital interfaces through which MindDhara makes its Services available to Users.
• "User" / "You" / "Your" / "Yourself" means any person who is 18 years of age or older and who registers on, accesses, or uses the Platform or any of the Services, on any computer, mobile phone, tablet, or other device.
• "Account" means the registered profile You create on the Platform to access MindDhara's Services.
• "Services" means everything MindDhara offers through the Platform including MindDhara Couch, MindDhara Forward, and any other services, features, content, or tools made available from time to time.
• "MindDhara Clinic" means MindDhara's direct practice arm, through which Sessions are delivered by Practitioners and Mentors who are employed by or contracted directly to MindDhara.
• "MindDhara Couch" means MindDhara's online mental health counselling and therapy service, through which Users can book individual Sessions, group therapy, and mental wellness workshops with Practitioners through either the MindDhara Clinic or the MindDhara Platform.
• "MindDhara ATLAS" means MindDhara's South Asian brain health research infrastructure, operating at atlasdhara.com, through which MindDhara facilitates applied psychological research using anonymised and aggregated data. ATLAS does not provide client-facing services and does not generate clinical revenue in its current form.
• "MindDhara Forward" means MindDhara's psychology-focused skill development, capacity building, and career development service, designed for individuals from the age of 12 through to doctoral level who are pursuing or considering a career in psychology or the brain health sciences. MindDhara Forward delivers individual mentorship, group workshops, school programmes, and published resources to support academic development, career planning, application strategy, and professional identity formation in the field of psychology.
• "Practitioner" means a psychologist, counsellor, therapist, or psychiatrist onboarded on the Platform to deliver MindDhara Couch services. Practitioners are registered with the Rehabilitation Council of India or the Medical Council of India, as applicable.
• "Mentor" means a psychology career mentor or career advisor onboarded on the Platform to deliver MindDhara Forward services.
• "Session" means a scheduled one-on-one or group appointment between You and a Practitioner or Mentor, conducted through the Platform via video, audio, or text.
• "Session Fee" means the fee payable by You for a Session or advisory package, as shown on the Platform at the time of booking.
• "Personal Information" has the meaning given to it under the Digital Personal Data Protection Act, 2023. How we collect, use, and store your Personal Information is covered in our Privacy Policy.
• "Confidential Information" means any non-public information shared through the Platform, including what You share during counselling sessions, Your academic and career details under MindDhara Forward, and anything else that the context of disclosure reasonably indicates should be kept confidential.
• "Policy Documents" means these Terms read together with our Privacy Policy, Refund and Cancellation Policy, and any other policies published on the Platform from time to time.
• "T&C" / "Terms" / "Terms of Use" means these Terms and Conditions, as updated from time to time.

Eligibility

Capacity to Contract

The User must be a natural person who is competent to contract under the Indian Contract Act, 1872, having attained the age of 18 (eighteen) years, being of sound mind, and not being disqualified from contracting by any law for the time being in force in India. MindDhara does not provide Services through the Platform to persons below the age of 18 years. Any access by a person below 18 years shall be deemed unauthorised, and MindDhara reserves the right to immediately suspend or terminate any such Account without prior notice.

Notwithstanding the foregoing, where MindDhara offers Services to persons below the age of 18 years through the MindDhara Clinic, the parent or legal guardian of the minor shall be required to register on behalf of the minor, provide prior and verifiable consent, and shall be deemed to have accepted full legal responsibility for the minor's participation in such Services.

Intention to Create Legal Relations

By accessing or using the Platform and its Services, the User expressly acknowledges and agrees that such access and use constitutes a legally binding arrangement, enforceable under applicable laws, and is undertaken with the clear intention to create legal relations.

No Misrepresentation or Fraud

The User undertakes not to provide any false, inaccurate, misleading, or incomplete information in connection with their registration on, or use of, the Platform. Any misrepresentation or fraud under Sections 17 and 18 of the Indian Contract Act, 1872, shall render the agreement voidable at the option of MindDhara.

Compliance with Applicable Laws

The User agrees to comply with all applicable laws, rules, and regulations in connection with their access to and use of the Platform.

Suitability for Services

Access to certain services may be subject to an assessment of suitability based on the User's disclosures, requirements, and circumstances. MindDhara does not warrant or guarantee the suitability, efficacy, or outcomes of any Services.

Geography

MindDhara's Services are available to Users based in India. Online counselling and advisory services under MindDhara Couch and MindDhara Forward are also accessible to Non-Resident Indians and South Asian diaspora users located outside India. It is Your sole responsibility to ensure that Your use of the Platform complies with the laws of the jurisdiction in which You are located. MindDhara shall not be held liable for non-compliance with the laws of any country other than India.

Nature of Services

MindDhara offers two core services through the Platform — MindDhara Couch and MindDhara Forward — both of which may be delivered directly through the MindDhara Clinic or facilitated through the Platform by Practitioners or Mentors, as applicable.

MindDhara Couch is MindDhara's mental health counselling and therapy service through which You may access one-on-one Sessions, group therapy, mental wellness workshops, cognitive wellbeing assessments, and structured mental health programmes with Practitioners.

MindDhara Forward is MindDhara's study-abroad and career advisory service through which You may access guidance relating to university and course selection, application strategy, Statement of Purpose and document review, mock interviews, scholarship opportunities, and career pathways in psychology. MindDhara Forward does not provide visa processing, immigration consultancy, or job placement services.

MindDhara reserves the right, at its sole discretion, to add, modify, suspend, withdraw, or discontinue any Service, feature, or functionality at any time. Where any material modification affects a Service already purchased by You, MindDhara shall provide such remedy as it deems appropriate in accordance with the Refund and Cancellation Policy.

MindDhara ATLAS

MindDhara ATLAS is MindDhara's South Asian brain health research infrastructure operating at atlasdhara.com. ATLAS does not provide client-facing services. Your use of MindDhara Couch or MindDhara Forward does not constitute participation in any ATLAS research activity. Any data contributed to ATLAS research is anonymised and aggregated prior to use. ATLAS is governed by separate terms published at atlasdhara.com.

User Accounts

Accuracy of Information

You shall be required to complete the registration process by furnishing Your full legal name, a valid email address, a working mobile number, and such other details as may be specified. You represent and warrant that all information furnished is true, accurate, current, and complete, and undertake to promptly update Your Account information so as to ensure its continued accuracy. You shall be permitted to maintain only one Account on the Platform at any given time.

Account Responsibility

You shall be solely responsible for all activities, transactions, bookings, communications, and submissions that occur through or under Your Account. You agree to notify Us immediately at hello@minddhara.com upon becoming aware of any unauthorised access to Your Account or any compromise of Your login credentials.

Password Security

You shall be solely responsible for maintaining the strict confidentiality of Your login credentials. You agree to ensure that You log out of Your Account upon the conclusion of each session. We shall bear no responsibility for any unauthorised access arising from Your failure to maintain the confidentiality of Your credentials.

Closure of Account

You may request the closure of Your Account by writing to hello@minddhara.com. We shall endeavour to process such requests within fourteen (14) working days, subject to there being no outstanding dues, no pending confirmed Sessions, and no unresolved disputes. The closure of Your Account shall not affect any obligation or liability that accrued prior to such closure.

Representations, Warranties, and Covenants of the User

You shall use the Platform strictly for lawful purposes. You shall not, directly or indirectly:

• use the Platform for any purpose that is unlawful, fraudulent, defamatory, obscene, harassing, threatening, or otherwise objectionable under applicable law;
• upload or transmit any content that is false, misleading, harmful, or that infringes the intellectual property rights or privacy rights of any third party;
• impersonate any person or entity, or misrepresent Your identity or qualifications;
• access or attempt to access any Account other than Your own through hacking or any other unlawful means;
• introduce any software or code that contains a virus, worm, trojan, or any other harmful component;
• decompile, reverse engineer, or otherwise attempt to derive the source code of any software underlying the Platform;
• reproduce, duplicate, sell, resell, or commercially exploit any part of the Platform or Services without Our express prior written consent;
• use any automated tool, bot, spider, scraper, or other means to access or extract any part of the Platform without Our express prior written authorisation;
• record, capture, transcribe, or otherwise reproduce any Session conducted through the Platform without the prior express written consent of both MindDhara and the relevant Practitioner or Mentor;
• directly or indirectly solicit, engage, or enter into any commercial arrangement with any Practitioner or Mentor introduced to You through the Platform, outside of the Platform, during the term of Your engagement and for twelve (12) months following the termination of Your Account; or
• provide false, inaccurate, or misleading information in connection with Your use of the Services.

Disclaimers

MindDhara Couch

MindDhara is not a hospital, psychiatric facility, or emergency mental health service. The Services offered under MindDhara Couch are not a substitute for emergency care, crisis intervention, inpatient treatment, or in-person psychiatric services. MindDhara Couch does not provide a clinical diagnosis, prognosis, prescription, or treatment plan. The Services are intended as a mode of psychological support and wellness facilitation and do not constitute the practice of medicine.

MindDhara Couch is not designed or equipped to handle medical or psychiatric emergencies, including acute suicidal ideation, self-harm, psychosis, or severe psychiatric episodes. If You are experiencing any such situation, You must immediately contact the nearest hospital, emergency services, or a crisis helpline in Your jurisdiction.

Practitioners on the Platform are registered with the Rehabilitation Council of India or the Medical Council of India, as applicable. We make reasonable efforts to verify credentials prior to onboarding; however, We do not guarantee the accuracy, completeness, or continued validity of such credentials. We do not control, supervise, or direct the professional judgment or clinical conduct of any Practitioner and shall not be deemed responsible for the nature, quality, accuracy, or outcome of services rendered.

You acknowledge that mental health outcomes cannot be guaranteed. The effectiveness of counselling is dependent on a range of factors personal to You, including Your engagement and the accuracy of information You provide. We make no representation in relation to the outcome or efficacy of any Session or programme.

All information shared during a Session is treated as Confidential Information and shall not be disclosed to any third party except where You have provided prior written consent; where required by applicable law or a court order; where necessary to prevent imminent risk of harm; or for clinical supervision purposes subject to appropriate confidentiality safeguards.

MindDhara Forward

MindDhara Forward is an advisory and guidance service only. We do not guarantee, and shall not be held liable for, admission to any university, scholarship outcomes, employment opportunities, or any other result arising from advisory Services. All such decisions rest entirely with the relevant universities, institutions, employers, or awarding bodies and are beyond Our control.

Information provided through MindDhara Forward, including university rankings, application deadlines, tuition fees, and scholarship criteria, is furnished for general guidance purposes only and is subject to change without notice. It is Your sole responsibility to independently verify all such information directly with the relevant institution prior to making any decision. MindDhara Forward does not provide visa processing, immigration consultancy, or job placement services.

Payments

All Sessions and advisory packages must be paid for in full prior to confirmation of booking. Payments are processed through PCI-DSS compliant payment processor(s) as We may engage from time to time, including Razorpay. We shall not be responsible for any failure, delay, or error arising from the processing of payments by any such processor.

Session Fees and advisory package fees are as displayed on the Platform at the time of booking and may vary depending on the Practitioner or Mentor selected. All fees are exclusive of applicable taxes unless expressly stated otherwise. Goods and Services Tax and any other applicable statutory levies shall be charged separately and shown on Your invoice.

All refunds and cancellations shall be governed exclusively by Our Refund and Cancellation Policy, which forms part of these Terms and is available on the Platform.

Intellectual Property

All content on the Platform, including text, graphics, images, audio, video, worksheets, assessment tools, programme materials, logos, trademarks, and the underlying software, constitutes the intellectual property of MindDhara and is protected under applicable copyright, trademark, and intellectual property laws. No deemed assignment, transfer, or licence of any intellectual property right is granted to You by virtue of Your use of the Platform.

You may access and use Platform content solely for Your own personal, non-commercial purposes. You shall not reproduce, sell, modify, create derivative works from, or remove any proprietary notices from any content on the Platform.

Where You submit feedback, testimonials, or other content to MindDhara, You grant MindDhara a non-exclusive, royalty-free, perpetual, irrevocable, and worldwide licence to use, reproduce, publish, and display such content for the purposes of operating, improving, and promoting the Platform and the Services, subject to Our Privacy Policy.

Confidentiality

We shall not disclose Your Confidential Information to any third party except where You have provided prior written consent; where required by applicable law, a court order, or direction of a competent authority; where necessary to prevent imminent risk of harm; where required for clinical supervision or quality assurance subject to appropriate safeguards; or where made to Our employees, contractors, or service providers bound by equivalent confidentiality obligations.

You shall keep confidential all non-public information relating to MindDhara, its Platform, Practitioners, Mentors, and Services that comes to Your knowledge through Your use of the Platform. You acknowledge that confidentiality of information transmitted over the internet cannot be guaranteed.

Indemnity and Limitation of Liability

You agree to indemnify, defend, and hold harmless MindDhara and its directors, officers, employees, contractors, agents, and affiliates from and against any and all claims, demands, losses, damages, costs, and expenses, including reasonable legal fees, arising out of Your use of the Platform in violation of these Terms, any misrepresentation by You, any violation of third-party rights, any harmful content submitted by You, or any claim by a Practitioner or Mentor arising from content posted by You.

To the fullest extent permitted by applicable law, MindDhara shall not be liable for any loss, damage, injury, or expense arising out of or in connection with Your use of the Platform or the Services, including any mental health or advisory outcome, any decision made in reliance on Platform guidance, any act or omission of any Practitioner or Mentor, any platform interruption, any unauthorised Account access arising from Your failure to secure credentials, or any loss arising from third-party content or services. In no event shall We be liable for any indirect, incidental, special, consequential, or punitive damages.

Term and Termination

These Terms shall come into effect upon Your registration and shall continue until Your Account is closed or terminated. We reserve the right to suspend or terminate Your access at any time, with or without prior notice, in the event of breach of these Terms, misrepresentation, fraud, harmful conduct, or any requirement under applicable law. Termination shall not affect any rights, obligations, or liabilities that accrued prior to the date of termination.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. In the event of any dispute, You agree to first attempt to resolve it informally by writing to Us at hello@minddhara.com. We shall endeavour to respond within fourteen (14) working days. If the dispute is not resolved within thirty (30) days, either party may refer the matter to the courts. All disputes shall be subject to the exclusive jurisdiction of the courts at Gurugram, Haryana, India.

Grievance Redressal

In accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, MindDhara has appointed a Grievance Officer to address complaints and concerns raised by Users in relation to the Platform and the Services.

In accordance with the Digital Personal Data Protection Act, 2023, the Grievance Officer is also designated as MindDhara's point of contact for complaints relating to the processing of Your personal data, the exercise of Your data rights, and the withdrawal of Your consent.

Any grievance submitted shall be acknowledged within twenty-four (24) hours of receipt and resolved within thirty (30) days of receipt.

Privacy and Data Protection

The collection, use, storage, sharing, and processing of Your Personal Information is governed by Our Privacy Policy, which forms part of these Terms. By registering on or using the Platform, You confirm that You have read and understood Our Privacy Policy and consent to the processing of Your Personal Information in accordance with it.

Changes to These Terms

We reserve the right to update or modify these T&C at any time without prior notice. Your continued access and use of the Services following any such change constitutes your agreement to follow and be bound by these T&C as updated. We encourage You to review these T&C each time You access and use the Services.

General

• Entire Agreement: These Terms, read together with Our Privacy Policy, Refund and Cancellation Policy, and any other Policy Documents, constitute the entire agreement between You and MindDhara in relation to Your use of the Platform and the Services.
• Severability: If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be deemed severed from the remainder of these Terms, which shall continue in full force and effect.
• Waiver: Any failure on the part of MindDhara to require performance of any provision shall not affect its right to full performance thereof at any time thereafter.
• Assignment: You shall not assign or transfer any of Your rights or obligations under these Terms without Our prior written consent. MindDhara reserves the right to assign its rights and obligations to any affiliate, successor, or acquirer without Your consent.
• Force Majeure: MindDhara shall not be liable for any failure or delay in performance caused by circumstances beyond Our reasonable control, including acts of God, natural disasters, pandemics, war, government action, power failures, internet outages, or failure of third-party service providers.
• Relationship of Parties: Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, employment, or fiduciary relationship between You and MindDhara.
• Notices: Any notice required under these Terms shall be in writing and delivered to MindDhara at hello@minddhara.com. Notices to You shall be sent to Your registered email address or communicated through the Platform.
